United Transport and Logistics Company (JSC UTLC) was registered on November, 13, 2014. Company shareholders are JSC Russian Railways (the share in the registered capital is 99.84%), the State Company Belarusian Railways (0.08%) and JSC National Company Kazakhstan Temir Zholy (0.08%).

The idea of UTLC establishment flows organically from establishment of the Customs Union and is one of the pilot integration projects in the frameworks of the Common Free Market Zone (CFMZ) of Russia, Belarus and Kazakhstan. In its target business model UTLC is a railway operator that unites the core assets of the three countries and renders services in the area of container cargo traffic, terminal processing, transportation and forwarding services within the Common Free Market Zone, including the area of transit transportations through the CFMZ.

Currently, the registered capital of the Company is 39.76 billion roubles, where 99.8% belongs to JSC RZD that introduced 100% minus 1 share of JSC RZD Logistics and 50% plus 2 shares of PJSC TransContainer to the registered capital of UTLC. The contribution of the Kazakh and Belarus parties is formed by means of monetary and core assets, including the terminals at the border checkpoints Dostyk, Altynkol and Brest. Upon completion of the registered capital formation the parties will achieve parity in the Board of Directors of UTLC having 3 representatives from each party. The majority in the Board of Directors of UTLC is kept by RZD before the Kazakh and Belarus parties will introduce the agreed upon core assets.
